Terms of Use
These Terms govern your access to and use of Ampli. By creating an account or using the Services, you agree to be bound by them. If you are accepting on behalf of a company or legal entity, you confirm you have authority to bind that entity.
The Agreement
Ampli is operated by SERENIUM LLP ("Company", "we", "us", "our"). These Terms of Use ("Terms") constitute a legally binding agreement between you and SERENIUM LLP governing your access to and use of the Ampli platform, including all features, applications, APIs, and services (collectively, the "Services").
These Terms incorporate by reference our Privacy Policy and any Order Form or Subscription Agreement executed between Ampli and a Customer. In the event of conflict, the Order Form or Subscription Agreement takes precedence, followed by these Terms, followed by other policies.
Key Definitions
- Customer — the organisation or agency that purchases or subscribes to the Services.
- User or you — an individual authorised by a Customer to use the Services.
- Customer Content — all brand materials, briefs, drafts, generated assets, campaign data, analytics, and other content uploaded to or created within Ampli by Customer or its Users.
- Subscription — the plan selected by the Customer, including trial and paid tiers.
- Workspace — the isolated tenant environment within Ampli belonging to a Customer or organisation.
Changes to These Terms
We may update these Terms from time to time. We will provide at least 30 days' prior written notice of material changes via email to the account owner and an in-app banner. For non-material changes, we may update without advance notice but will update the Last Updated date at the top of this page. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
Eligibility
The Services are available only to persons and entities who can form legally binding contracts under applicable law. You must be at least 18 years of age. Ampli is a B2B platform; by registering, you confirm you are accessing the Services in a professional or business capacity, not as a consumer.
We reserve the right to refuse or terminate access if we discover that a User does not meet eligibility requirements or is in breach of these Terms.
Your Account
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. We recommend enabling multi-factor authentication where available. You must notify us immediately at privacy@ampli.studio if you suspect any unauthorised access to your account.
If you provide information that is untrue, inaccurate, or incomplete, we may suspend or terminate your access. Where feasible, we will provide notice before doing so unless immediate action is required for security, legal, or abuse-prevention reasons.
Any access to the Services through a Subscription is non-transferable. For access issues, contact privacy@ampli.studio.
Trial Accounts
Ampli may offer a free trial for a limited period. Trial accounts are subject to the same Terms but with feature and usage limits as disclosed during signup. At the end of the Trial, you must subscribe to a paid plan to retain access to your Workspace and Customer Content. We reserve the right to delete Trial workspaces and associated Customer Content after a grace period of 30 days following Trial expiry, without further notice, unless you have upgraded.
Subscriptions and Billing
The following billing terms apply to paid Subscriptions. Ampli may currently offer free or limited-access tiers; the terms below will apply when paid Subscriptions become available.
Subscriptions are billed in advance on a monthly or annual basis via Stripe. All fees are exclusive of applicable taxes (GST, VAT, sales tax), which will be added where legally required.
- Annual plans are non-refundable except as required by applicable law or as set out in our Refund Policy.
- Monthly plans may be cancelled before the next billing cycle; cancellation stops future charges but does not generate a pro-rata refund for the current period unless required by applicable law.
- If payment fails, we will notify you and provide a grace period of typically 7 days before suspending access. Continued non-payment may result in termination.
- We reserve the right to change pricing with 30 days' written notice. Price changes will not apply mid-term to annual subscriptions.
AI-Generated Content
Ampli provides AI-assisted tools for social media planning, content generation, image generation, publishing, and analytics.
Important — AI Outputs
- AI-generated copy, images, recommendations, and plans are outputs of generative AI models and are not guaranteed to be accurate, suitable, complete, or free from errors or bias.
- You are solely responsible for reviewing, approving, and publishing any content through Ampli. Ampli's approval workflow facilitates human review; it does not substitute for it.
- AI outputs do not constitute professional advice (legal, financial, medical, or otherwise).
- We do not guarantee that AI-generated content is free from third-party intellectual property claims.
- Ampli's learning loop uses your workspace's own performance data to generate better recommendations for your workspace only. We do not use your Customer Content to train AI models that serve other customers.
Connected Social Platforms
When you connect a social media account to Ampli, you authorise us to publish content and retrieve analytics on your behalf. You remain solely responsible for:
- compliance with the terms of service of each connected platform (Meta, LinkedIn, X, and others);
- the accuracy and appropriateness of content published through Ampli;
- maintaining valid and authorised credentials for connected accounts.
Ampli is not responsible for platform-side publishing failures, API changes, account suspensions, or any actions taken by third-party platforms in response to content you publish.
Acceptable Use
You agree not to use the Services to upload, generate, publish, or transmit any content or conduct any activity that:
- belongs to another party without the right to use it;
- is defamatory, harassing, threatening, obscene, pornographic, hateful, or discriminatory on the basis of race, ethnicity, gender, religion, disability, sexual orientation, or any other protected characteristic;
- infringes any third party's intellectual property, privacy, or publicity rights;
- involves unsolicited bulk messaging or spam;
- promotes or facilitates illegal activity;
- uses Ampli to publish regulated content (financial, medical, or legal advice) without required disclosures and authorisations;
- uses Ampli to run coordinated inauthentic behaviour campaigns, astroturfing, or fake engagement schemes;
- attempts to gain unauthorised access to Ampli, other customers' workspaces, or connected systems;
- disrupts or overloads Ampli infrastructure or networks;
- contains malware, viruses, or code designed to damage any system or data;
- violates sanctions laws or embargoes applicable in the US, EU, UK, or other applicable jurisdictions;
- reverse-engineers or decompiles any part of Ampli;
- scrapes data from Ampli other than through our officially supported API;
- circumvents plan-based usage limits or AI generation credits.
You are responsible for complying with all laws and regulations applicable to your use of the Services in your jurisdiction, including data protection laws, advertising standards, and the terms of service of connected social platforms.
Ownership
Your Content
As between Ampli and the Customer, the Customer retains all ownership rights in and to Customer Content. Ampli claims no ownership over Customer Content, including any content generated by Ampli's AI tools at the Customer's direction within the Customer's Workspace.
Ampli IP
All rights, title, and interest in and to the Ampli platform, application, models, documentation, design system, and trademarks belong exclusively to SERENIUM LLP or its licensors. Nothing in these Terms transfers any Ampli IP to you.
Licence from Customer to Ampli
You grant Ampli a non-exclusive, worldwide, royalty-free licence to access, store, process, and display your Customer Content solely to the extent necessary to provide, operate, and support the Services for your Workspace. This licence does not permit Ampli to use your Content to train AI models that serve other customers or to share your Content with other tenants. This licence terminates upon deletion of your Customer Content or termination of your Subscription.
Feedback
If you provide suggestions or feedback about the Services, you grant Ampli a perpetual, irrevocable, royalty-free licence to use and incorporate such feedback without restriction.
Confidentiality
Each party may disclose confidential information to the other in connection with the Services. Each party agrees to use the other's Confidential Information only to perform under these Terms, protect it with at least reasonable care, and not disclose it to third parties except to sub-processors or advisors bound by equivalent obligations.
Customer Content is your Confidential Information. Ampli's platform, models, pricing, and non-public roadmap are Ampli's Confidential Information.
Termination
By you
You may cancel your Subscription at any time via the Billing section of your Workspace or by contacting privacy@ampli.studio. Cancellation takes effect at the end of the current billing period.
By Ampli
We may suspend or terminate your access immediately if you materially breach these Terms and fail to cure within 14 days of notice; are in persistent arrears on payment; or if continued access poses a security or legal risk.
Effect of termination
Your licence to use the Services ends and your Workspaces will be decommissioned. Customer Content is available for export for 30 days after termination, after which it will be deleted in accordance with our Privacy Policy retention schedule.
Survival
Sections on IP, indemnification, limitation of liability, governing law, and any accrued payment obligations survive termination.
Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis to the maximum extent permitted by applicable law. We do not warrant that:
- the Services will be uninterrupted or error-free, although we will use commercially reasonable efforts to maintain availability and communicate planned downtime in advance;
- AI-generated content will be accurate, suitable for your purpose, or free from third-party IP claims;
- any particular social platform integration will remain functional, as platform API availability is outside our control.
Limitation of Liability
To the maximum extent permitted by applicable law:
Exclusion of consequential loss
Neither party shall be liable for any indirect, incidental, special, punitive, or consequential damages, including loss of profits, loss of data, loss of goodwill, or business interruption, even if advised of the possibility of such damages.
Aggregate Cap
SERENIUM LLP's total aggregate liability for all claims arising out of or related to these Terms shall not exceed the greater of (a) the total fees paid by you to Ampli in the 12 months immediately preceding the event giving rise to liability, or (b) USD 500 or equivalent INR at the then-prevailing exchange rate.
Exceptions
The above limitations do not apply to death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any liability that cannot be excluded by applicable law.
Indemnification
You agree to indemnify, defend, and hold harmless SERENIUM LLP and its officers, directors, employees, agents, and representatives from and against any claims, costs, damages, and liabilities arising out of: your violation of these Terms; your Customer Content or any content you publish through Ampli; your violation of any third party's rights; your violation of any applicable law; or any claim by a connected social platform arising from your use of that platform through Ampli.
Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles. The courts of Pune, Maharashtra, India shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms, subject to the informal resolution and arbitration provisions below.
The parties will attempt to resolve any dispute informally by contacting privacy@ampli.studio with a written description of the issue. If a dispute is not resolved within 30 days, it may be referred to binding arbitration conducted in Pune, Maharashtra, India, under the Arbitration and Conciliation Act, 1996. Either party may seek urgent injunctive relief from a court of competent jurisdiction to prevent irreparable harm.
Customers contracting as consumers under EU, UK, or other applicable consumer protection law retain their right to bring claims before their local courts and are not bound by the arbitration clause.
General
Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, provided your rights are preserved.
Severability
If any provision is found unenforceable, it shall be enforced to the maximum extent permissible and the remainder of the Terms shall continue in full force.
Force Majeure
Neither party shall be liable for delays caused by circumstances beyond reasonable control, including natural disasters, government actions, internet infrastructure failures, or third-party platform outages.
Entire Agreement
These Terms, together with the Privacy Policy and any Order Form or DPA, constitute the entire agreement between the parties regarding the Services.
Relationship
Use of the Services does not make you an employee, agent, partner, or franchisee of SERENIUM LLP.
